Terms of Service
The agreement covering your SellerCycle account, your Amazon connection, and what each of us is responsible for.

The agreement
These terms are between SellerCycle, Inc. (“we”) and the business that opens a SellerCycle account (“you”). By creating an account or using the service you accept them. If you are accepting on behalf of a company, you are confirming you have the authority to do so.
Our Privacy Policy forms part of this agreement and describes how we handle your data.

What the service does
SellerCycle reconciles Amazon FBA removal shipments against what your warehouse actually receives, flags the discrepancies, and prepares reimbursement claims with the supporting evidence attached.
We prepare claims; Amazon decides them. Nothing in the product is a guarantee that a claim will be approved or that any particular amount will be recovered. Amazon’s policies, eligibility windows, and decisions are entirely Amazon’s.

Your account and your users
- You are responsible for your users’ activity, for keeping credentials confidential, and for removing users who leave.
- You must give accurate information, and keep the account owner’s contact details current — that is where we send security and integration notices.
- You must be old enough to enter a contract in your jurisdiction, and you may not use the service if we are barred from providing it to you.

Your Amazon connection
Connecting your Amazon account authorizes us to pull FBA reports on your behalf through Amazon’s Selling Partner API. You confirm that you have the right to grant that authorization for the seller account in question.
- You may disconnect at any time from the integration settings; doing so deletes the stored authorization.
- We read only what the reports contain and make no write calls to your Amazon account.
- Your use of Amazon’s services remains governed by your own agreements with Amazon. Nothing here overrides them, and we are not responsible for actions Amazon takes on your account.
- If Amazon changes or withdraws the APIs we rely on, we may have to change or suspend the affected features.

Acceptable use
You agree not to:
- use the service to access an Amazon account you are not authorized to access;
- submit claims you know to be unfounded, or use the product to misrepresent facts to Amazon;
- probe, scrape, overload, or reverse-engineer the service, or circumvent its access controls or rate limits;
- resell or provide the service to third parties except as your own end customers under a managed-service arrangement with us;
- upload malware, or content you have no right to upload.
We may suspend an account that is doing any of the above, or that puts the service or other customers at risk. Where we can, we will tell you first.

Managed filing
If you opt into managed filing, our filing specialists submit Seller Support cases on your behalf, using a Seller Central credential you provide. That option is off unless you turn it on.
- You are asked to provide a secondary Seller Central user with only the permissions filing requires — not your owner login — and you confirm you are permitted to create it.
- You remain the seller of record. We act on your instructions, and you can revoke the arrangement at any time, at which point the credential is deleted.
- Commission or fees for managed filing are those set out in your plan.

Fees and billing
- Fees are those shown for your plan at the time you subscribe. Subscriptions renew for the same term unless cancelled before renewal.
- We may change pricing for a future term with at least 30 days’ notice to the account owner.
- Fees are exclusive of tax. Late payment may lead to suspension after notice.
- Trials, where offered, end at the stated date unless you subscribe.

Your data
Your data stays yours. You grant us only the licence needed to host, process, and display it in order to run the service for you, and to keep backups.
We may use aggregated, de-identified statistics that cannot be traced to you or your sellers to operate and improve the service. We do not sell your data, and we do not use your Amazon report data to train machine-learning models.

Availability and changes
We work to keep the service available but do not promise uninterrupted operation. Maintenance, upstream outages — including Amazon’s — and faults happen.
We may add, change, or remove features. If a change materially reduces functionality you rely on, we will give the account owner reasonable notice.

Ending the agreement
You may cancel at any time; the cancellation takes effect at the end of your current term. We may terminate for material breach that is not cured within 30 days of notice, or immediately for the conduct listed under acceptable use.
On termination your access ends. Export what you need before then — or ask us within 30 days and we will help. Deletion then follows the Privacy Policy.

Warranties and liability
The service is provided “as is”. To the fullest extent the law allows, we disclaim implied warranties of merchantability, fitness for a particular purpose, and non-infringement, and we do not warrant that the service will be error-free or that any claim will be reimbursed.
Neither party is liable for indirect, incidental, special, or consequential damages, or for lost profits or lost reimbursements. Our total liability under this agreement is limited to the fees you paid us in the twelve months before the claim arose. Nothing here excludes liability that cannot lawfully be excluded.

General
- We may update these terms; material changes are emailed to the account owner and take effect on the stated date.
- Neither party may assign this agreement without the other’s consent, except in a merger or sale of substantially all assets.
- If a provision is unenforceable, the rest survives. Failing to enforce a right is not a waiver of it.
- These terms are the entire agreement between us on this subject.
